1. Scope

These terms govern all wholesale supplies of goods by VLC-Electronics Oy Ltd ("VLC") to business customers. VLC sells exclusively B2B: offers, quotations and deliveries are made only to companies, sole traders and other professional buyers, never to consumers.

2. No online sales

This website is informational. Product listings do not constitute a binding offer. A contract arises only when VLC confirms a purchase order in writing (order confirmation or countersigned proforma).

3. Prices and payment

Prices are quoted in EUR, net of VAT, per the Incoterms stated in the quotation (normally FCA or EXW, EU hubs Helsinki · Weilrod · Vilnius). Unless agreed otherwise, payment is by bank transfer before dispatch or per the payment terms stated on the invoice. Intra-Community supplies are zero-rated subject to a valid VAT number and proof of transport (reverse charge, Art. 194–196 of Directive 2006/112/EC where applicable).

4. Delivery

Delivery dates are estimates unless expressly guaranteed. Risk passes per the agreed Incoterm. The customer inspects the goods on arrival and notifies visible transport damage on the CMR/POD and to VLC within 3 working days.

5. Retention of title

Goods remain the property of VLC until paid in full.

6. Warranty

Goods carry the manufacturer's warranty applicable in the country of destination. VLC's liability is limited to the invoice value of the goods concerned; indirect and consequential damages are excluded to the extent permitted by law.

7. Trademarks

The customer markets the goods respecting the manufacturers' brand guidelines and any selective-distribution rules communicated for a given brand.

8. Governing law and disputes

These terms and all contracts under them are governed by the laws of Finland, excluding its conflict-of-law rules and the CISG where its exclusion is agreed in the order confirmation. Place of jurisdiction: Helsinki, Finland.
